Abstract
วิทยานิพนธ์เรื่องนี้ มีวัตถุประสงค์เพื่อศึกษาความเป็นมา แนวคิด ทฤษฎีเจ้าหนี้มีประกัน ของกฎหมาย ล้มละลาย หลักการและเหตุผลในการกำหนดสิทธิของเจ้าหนี้มีประกันในคดีล้มละลาย ศึกษาถึงการใช้สิทธิของเจ้าหนี้ในกระบวนการดำเนินคดีล้มละลาย สิทธิและหน้าที่ของเจ้าหนี้มีประกัน ขั้นตอนและหลักเกณฑ์การยื่นขอรับชำระหนี้ของเจ้าหนี้มีประกัน ตามกฎหมายของประเทศไทย และของต่างประเทศ วิเคราะห์ปัญหาข้อกฎหมายเกี่ยวกับการใช้สิทธิของเจ้าหนี้มีประกันที่ได้บัญญัติไว้ในกฎหมายล้มละลาย ในการหาแนวทางที่เหมาะสมในการขอบังคับตามสิทธิของเจ้าหนี้มีประกันตามมาตรา 95 และเสนอแนวทางในการแก้ปัญหาข้อกฎหมายในการบังคับใช้ให้มีประสิทธิภาพเหมาะสมสอดคล้องกบยุคสมัยปัจจุบัน การศึกษาวิทยานิพนธ์นี้ เป็นการวิจัยเชิงคุณภาพด้วยวิธีวิจัยเอกสารจากการศึกษาค้นคว้า เก็บรวบรวม ข้อมูลจาก ตำรากฎหมาย บทความทางวิชาการ วารสารทางกฎหมาย รายงานวิชาการทางกฎหมาย ข้อมูลเอกสาร ทางกฎหมายคำพิพากษาศาลฎีกา กฎระเบียบ คำสั่ง และโดยการสัมภาษณ์บุคคลผู้เกี่ยวข้องกับการใช้กฎหมาย อาทิผู้พิพากษา เจ้าพนักงานพิทักษ์ทรัพย์ทนายความ ผู้บริหารคดีของธนาคาร ผลการศึกษาพบว่า ตามพระราชบัญญัติล้มละลาย พ.ศ. 2483 กำหนดการใช้สิทธิของเจ้าหนี้ มีประกัน ไว้สองช่องทางคือ การยื่นขอรับชำระหนี้ตามมาตรา 91 ประกอบมาตรา 96 หรือการขอใช้สิทธิบังคับหลักประกัน ตามมาตรา 95 ซึ่งเจ้าหนี้มีประกันสามารถเลือกใช้ได้เพียงช่องเดียวเท่านั้น โดยในส่วนของบทบัญญัติในมาตรา 95 กฎหมายเพียงกาหนดบททั่วไปของสิทธิความเป็นเจ้าหนี้มีประกันเท่านั้น แต่ไม่ได้กำหนดรายละเอียดของการใช้สิทธิเจ้าหนี้มีประกัน กฎเกณฑ์ วิธีการ ขั้นตอน แนวการปฏิบัติที่ชัดเจนไว้แต่อย่างใด ทำให้เกิดปัญหาในการบังคับใช้ต้องตีความในการนำมาปฏิบัติการที่มาตรา 95 ไม่มีแนวทางที่ชัดเจนทำให้ในทางปฏิบัติ ต้องนำหลักจากคำพิพากษาศาลฎีกา และกรมบังคดีซึ่งเป็นหน่วยงานเกี่ยวข้องโดยตรง ได้ออกคำสังเรื่องการปฏิบัติงานบังคับคดีล้มละลายกรณี บังคับตามสิทธิ ของเจ้าหนี้มีประกันตามมาตรา 95 เพื่อกำหนดแนวทางปฏิบัติงาน ของเจ้าพนักงานพิทักษ์ทรัพย์ เป็นไปในแนวทางเดียวกัน จากช่องว่างของกฎหมายในการศึกษาครั้งนี้จึงเห็นควร ให้มีการแก้ไขบทบัญญัติในมาตรา 95 ให้มีหลักเกณฑ์ชัดเจนในการบังคับใช้เพื่อประโยชน์อันแท้จริง ตามวัตถุประสงค์ของกฎหมายล้มละลาย
The objectives of this thesis were to study the development, concept, and secured creditor theory under the bankruptcy law, the principle and rationale to impose the right of secured creditor in bankruptcy cases, the right exercise of creditor in litigation process of bankruptcy case, the rights and duties of secured creditor, the procedure and criteria for submitting a repayment application under Thai and foreign laws. Moreover, this thesis aimed to analyze legal issues in respect of the right exercise of secured creditor prescribed in bankruptcy law, to find the appropriate approach to force as right of secured creditor under section 95, and to propose a solution for legal problem in part of enforcement to be effective, reasonable and comply with present time. This thesis was a qualitative research using the method of documentary research by collecting data from textbook, academic articles, law journals, law academic report, data of law documents, judgements of the Supreme Court, rules, regulations, orders, and interview the persons whose works related to the law enforcement such as a judge, an official receiver, and a bank’s case manager The research found that the Bankruptcy Act B.E. 2483 prescribed two options for exercising the rights of secured creditors which were submitting the application for repayment of debt under section 91 compound with section 96 or exercising the secured creditors’ rights under section 95. Section 95 prescribed the rights of secured creditor generally, but it has not specified how to exercise the rights of secured creditors, regulation, method, procedure in particular. Thus, the enforcement problem has occurred, and legal interpretation is required. To set the standard of practice for this matter, the principle extracted from the judgments of the Supreme Court and the orders of the Department of Legal Execution’ s has been used. Consequently, section 95 should be amended by adding clearance exercise for authentic benefit according to the objectives of Bankruptcy Law.
