Abstract
การวิจัยครั้งนื้ มีวัตถุประสงค์เพื่อ (1) ศึกษาปัจจัยที่มีผลต่อการปฏิบัติตามหลักบรรษัทภิบาลของบริษัทจดทะเบียนในตลาดหลักทรัพย์แห่งประเทศไทย (2) ศึกษาการปฏิบัติตามหลักบรรษัทภิบาลของบริษัทจดทะเบียนในตลาดหลักทรัพย์แห่งประเทศไทย และ (3) เสนอแนะแนวทางการปฏิบัติตามหลักบรรษัทภิบาลของบริษัทจดทะเบียนในตลาดหลักทรัพย์แห่งประเทศไทยการวิจัยครั้งนี้เป็นการวิจัยเชิงสำรวจ ประชากรคึอกรรมการบริษัทจดทะเบียนในตลาดหลักทรัพย์แห่งประเทศไทย จำนวนรวม 918 คนการสุ่มตัวอย่างใช้การสุ่มตัวอย่างอย่างง่าย ได้กลุ่มตัวอย่างจำนวน
279 คน เครื่องมือในการวิจัยใช้แบบสอบกาม สถิติที่ใช้ในการวิเคราะห์ข้อมูล ได้แก่ ค่าเฉลี่ย ค่าเบี่ยงเบนมาตรฐาน การวิเคราะห์การถดถอยพหุคูณแบบเส้นตรง และการวิเคราะห์สหสัมพันธ์ของเพียรสันผลการวิจัยพบว่า (1) แม้ว่ากรรมการบริษัทจะเห็นว่าปัจจัยภายในและปัจจัยภายนอกมีผลต่อการปฏิบัติตามหลักบรรษัทภิบาลในระดับมาก แด่ปัจจัยภายในเท่านั้นที่สามารถพยากรณ์การปฏิปัติตามหลักบรรษัทภิบาลได้โดยสามารถพยากรณ์ได้เพียง 18.9% และปัจจัยภายในที่สามารถพยากรณ์ได้มีเพึยง 2 ด้าน คือด้านบทบาท หน้าที่และความรับผิดชอบของคณะกรรมการตรวจสอบ และปัจจัยภายในด้านโครงสร้างผู้ถือหุ้น (2) บริษัทจดทะเบียนในตลาดหลักทรัพย์แห่งประเทศไทยมีการปฏิบัติตามหลักบรรษัทภิบาลโดยรวมอยู่ในระดับปฏิบัติทุกครั้ง และ (3) บริษัทจดทะเบียนในตลาดหลักทรัพย์แห่งประเทศไทย ควรให้ความสำคัญกับปัจจัยภายในโดยเฉพาะในด้านบทบาทหน้าที่และความรับผิดชอบของคณะกรรมการตรวจสอบในการสร้างหรือยกระดับการปฏิบัติตามหลักบรรษัทภิบาล
The objectives of this research were to (1) study factors affecting the implementation on good corporate governance of listed companies in the Stock Exchange of Thailand; (2) study the implementation on good corporate governance of listed companies in the Stock Exchange of Thailand, and (3) give suggestions for the implementation on good corporate governance of listed companies in the Stock Exchange of Thailand This research was the survey research. The population were the directors of listed companies in the Stock Exchange of Thailand at the total amount of 918. The samplings consisted of 279 directors using simple random sampling. The instrument using for this data collecting was questionnaires. Statistical tools were mean, standard deviation, linear multiple regression and correlation test. The research findings showed that (1) though the director's opinion were both the internal and external factors affecting the implementation on good corporate governance of listed companies in the Stock Exchange of Thailand at high level ะ the internal factors only which had influences upon and could be used to forecast the implementation on good corporate governance of listed companies at 18.9% forecast level; and the 2 major internal factors were the roles, duties and responsibilities of the audit committee and share holders' structure; (2) the average level of the implementation on good corporate governance of listed companies was always execution (3) the listed companies should concentrate to the internal factors especially for the factor of roles, duties and responsibilities of the audit committee for their improvement of the implementation on good corporate governance.
