การวิเคราะห์การควบรวมกิจการของบริษัทจดทะเบียนในตลาดหลักทรัพย์แห่งประเทศไทย ระหว่างปี 2551-2552

Abstract

การวิจัยครั้งนี้มีวัตถุประสงค์เพี่อ 1) ศึกษาภาพรวมการควบรวมกิจการของบริษัทจด ทะเบียนในตลาดหลักทรัพย์แห่งประเทศไทยระหว่างปี พ.ศ.2551-2552 2) ศึกษาฐานะทางการเงิน และการดำเนินงานของบริษัทจดทะเบียนในตลาดหลักทรัพย์แห่งประเทศ ระหว่างปี พ.ศ.2551-2552 ก่อนและหลังการดำเนินการควบรวมกิจการ 3) ริ!คราะห์ผลการควบรวมกิจการของบริษัทจดทะเบียน ในตลาดหลักทรัพย์แห่งประเทศไทย ระหว่างปี พ.ศ.2551-2552 วิธีการดำเนินการศึกษาโดยรวบรวมข้อมูลทุติยภูมิของบริษัทที่มีการควบรวมในตลาดหลักทรัพย์แห่งประเทศไทยตั้งแต่ปี พ.ศ.2551- 2552และนำข้อมูลมาทำการวิเคราะห์เชิงปริมาณ โดยใช้อัตราปันผลตอบแทน อัตรากำไรสุทธิ อัตราส่วนราคาตลาดต่อกำไรต่อหุ้น อัตราส่วน ราคาตลาดต่อมูลค่าตามบัญชี มูลค่าราคาตลาด ผลการศึกษาพบว่า 1) บริษัท ทิสโก้ไฟแนนเชียลกรุ๊ป จำกัด (มหาชน) เข้าถือหุ้น ธนาคารทิสโก้ จำกัด (มหาชน) บริษัท บมจ.จีเอ็มเอ็ม แกรมมี่ ปรับโครงสร้างการถือหุ้นที่บริษัทฯ เข้าซื้อหุ้นของ บมจ.จีเอ็มเอ็ม มีเดียบริษัท สหยูเนี่ยนจำกัด (มหาชน) ผู้ทำคำเสนอซื้อถือหุ้นสามัญของ บริษัท ยูเนี่ยนเทคโนโลยี่ (2008) จำกัด (มหาชน)ทั้ง3บริษัท เป็นการควบรวม 2) บริษัทในเครือ ทำให้ เกิดผลการเปลี่ยนแปลงของการดำเนินงานไม่มากนัก ในระยะยาวอาจจะมีผลดี 3) เนื่องจากมีการ ลดต้นทุนจากการใช้ทรัพยากรบางอย่างร่วมกัน เช่น ต้นทุนการบริหาร ต้นทุนในการดำเนินงาน

The objectives of this research were1) to study the overall picture of mergers that took place in 2008-2009 between companies listed on the Stock Exchange of Thailand (SET); 2)to study the financial and operational status before and after the mergers of the companies that merged;and 3) to analyze the results of the mergers that took place in the SET in 2008-2009. The study was done by compiling secondary data on companies listed on the SET that merged in 2008-2009 and by performing a quantitative analysis by comparing the dividend return rates, net profit rates, the price to earnings ratio, the price/book value ratio, and themarket capitalization. The results 1) showed that 3 mergers took place, which were all mergers within networks. Tisco Financial Group Public Company Limited merged with Tisco Bank Public Company Limited, GMM Grammy Public Company Limited took over GMM Media Public Company Limited in a restructure, and Saha Union Public Company Limited made a tender offer to take over Union Technology (2008) Public Company Limited. Since all 3 of these mergers were between related businesses, 2) there was little impact on their operations and in the long term the mergers might be beneficial in helping the companies reduce costs, such as administrative costs and 3) operational costs, by pooling resources.
