Abstract
การวิจัยครั้งนี้มีวัตถุประสงค์เพื่อ 1) ศึกษาทฤษฎีเกี่ยวกับนิติบุคคลด้านความรับผิดของนิติบุคคลและบุคคลเบื้องหลังนิติบุคคลตามกฎหมายไทยและต่างประเทศ (2) ศึกษาหลักการไม่คำนึงถึงความเป็นนิติบุคคลตามมาตรา 44 แห่งพระราชบัญญัติวิธีพิจารณาคดีผู้บริโภค พ.ศ. 2551 และในต่างประเทศ (3) วิเคราะห์ปัญหาทางกฎหมายเกี่ยวกับการฟ้องบุคคลเบื้องหลังนิติบุคคลตามมาตรา 44 แห่งพระราชบัญญัติวิธีพิจารณาคดีผู้บริโภค พ.ศ.2551 และในต่างประเทศ (4) เสนอแนวทางที่เหมาะสมในการปรับปรุงแก้ไขบทบัญญัติมาตรา 44 แห่งพระราชบัญญัติวิธีพิจารณาคดีผู้บริโภค พ.ศ. 2551 งานวิจัยนี้เป็นการวิจัยทางกฎหมายโดยการวิจัยเชิงคุณภาพ ด้วยการวิจัยทางเอกสารจากหนังสือตำราและบทความต่างๆ ตลอดจนตัวบทกฎหมายและแนวคําพิพากษาของศาลที่เกี่ยวข้องทั้งของประเทศไทยและกฎหมายต่างประเทศ ผลการศึกษาพบว่า (1) นิติบุคคลเป็นบุคคลตามกฎหมายมีสิทธิและหน้าที่ของตนเอง จึงต้องรับผิดต่อบุคคลภายนอกด้วยตนเองและบุคคลเบื้องหลังนิติบุคคลเช่นผู้ลงทุนมีความรับผิดจำกัดเพียงจำนวนเงินที่นำมาลงทุน กฎหมายเกี่ยวกับห้างหุ้นส่วนและบริษัททั้งในประเทศไทยและประเทศสหราชอาณาจักร ประเทศสหรัฐอเมริกา และประเทศเยอรมนีต่างก็บัญญัติเช่นนี้ (2) หลักการ ไม่คำนึงถึงความเป็นนิติบุคคลตามมาตรา 44 แห่งพระราชบัญญัติวิธีพิจารณาคดีผู้บริโภค พ.ศ. 2551 และของประเทศสหราชอาณาจักร ประเทศสหรัฐอเมริกา ประเทศแคนาดา และประเทศเยอรมนี ต่างก็บัญญัติคล้ายกันกล่าวคือเมื่อบุคคลเบื้องหลังนิติบุคคลใช้นิติบุคคลเพื่อแสวงหาผลประโยชน์ส่วนตน โดยไม่ชอบ ทําให้บุคคลภายนอกไม่ได้รับความเป็นธรรม ศาลจะใช้หลักการไม่คำนึงถึงความเป็นนิติบุคคลเพื่อให้บุคคลเบื้องหลังนิติบุคคลมาร่วมรับผิดกับนิติบุคคล (3) ปัญหาทางกฎหมายเกี่ยวกับการฟ้องบุคคลเบื้องหลังนิติบุคคลตามมาตรา 44 แห่งพระราชบัญญัติวิธีพิจารณาคดีผู้บริโภค พ.ศ. 2551 พบว่าศาลไทยยังลังเลที่จะใช้หลักการนี้ จากการที่บัญญัติตัวบทไว้อย่างกว้างทำให้ยากในทางปฏิบัติจึงมีคดีฟ้องตามมาตรานี้ค่อนข้างน้อยมาก สําหรับศาลในประเทศสหราชอาณาจักรใช้หลักการไม่คำนึงถึงสภาพนิติบุคคลค่อนข้างน้อย แม้ว่าจะเป็นประเทศแรกที่พัฒนาหลักการนี้ขึ้นมาจึงมีคดีที่ฟ้องตามหลักการนี้ค่อนข้างน้อย สำหรับประเทศสหรัฐอเมริกามีคดีฟ้องตามหลักการนี้ค่อนข้างมาก โดยศาลแต่ละมลรัฐพัฒนาหลักการไม่คำนึงถึงสภาพนิติบุคคลของตน สำหรับศาลในประเทศแคนาดาใช้หลักการไม่คำนึงถึงสภาพนิติบุคคล โดยศาลพัฒนาหลักการนี้ขึ้นมาเพื่อเน้นผลประโยชน์ทางภาษี สําหรับศาลในประเทศเยอรมนีใช้หลักการไม่คํานึงถึงสภาพนิติบุคคลค่อนข้างน้อย แม้ว่าศาลจะพัฒนาหลักการนี้ขึ้นมา แต่มีคดีฟ้องตามหลักการนี้ค่อนข้างน้อย โดยศาลจะใช้หลักการทั่วไปในกฎหมายแพ่ง เช่น ละเมิด (4) เสนอแนวทางปรับปรุงแก้ไขมาตรา 44 นี้ด้วยการเพิ่มนิยามอำนาจควบคุม วิธีก้าหนดราคาโอน และวิธีวัดมูลค่ากิจการ
The objective of this study were (1) study theory of juristic persons and people behind them in Thai and foreign Laws (2)study piercing the corporate veil in section 44 of Consumer Case Procedure B.E.255land piercing the corporate veil of foreign laws (3) Analysis legal problems in suing people behind juristic persons according to section 40 of the Consumer Case Procedure Act,B E.2551 compare with United Kingdom, The United States of America, Canada and Germany (4) advice how to adjust section 44 of Consumer Case Procedure B.E.2551 This study was qualitative research which searched from books, texts, articles and court judgments which relate this doctrine in Thai and foreign laws. The results of this study were (1) juristic persons are legal person which have own right and responsibility and people behind them such as investors have limit liability for their investment. Partnership and Corporate law in Thai, United Kingdom, United States and Germany also legislate this principled) piercing the corporate veil doctrine which legislate in section 40 of the Consumer Case Procedure Act,B.E.2551 and of United Kingdom, United States, Canada and Germany are similar legislate that people behind them use juristic persons to seek their own benefit in improper conduct and make third party inequity, then courts will use this doctrine to get people behind them responsibility in debt of juristic persons. (3) legal problems in suing people behind juristic persons according to section 40 of the Consumer Case Procedure Act,B.E.2551 realize that Thai courts are still reluctant to use this doctrine due to widely legislation cause difficult to perform, so there have quite little case using this doctrine. For English courts are rarely use piercing the corporate veil doctrine although the first country develop this doctrine but use general principles such as tort. In the United States have so many cases suing with piercing the corporate veil doctrine causes the courts in each state develop their own corporate veil doctrine. For Canadian courts are use piercing the corporate veil doctrine for tax purpose by develop this doctrine like the United States and German courts are rarely use piercing the corporate veil doctrine although develop this doctrine but use general principles such as tort due to the German judiciary is so conservative.
