ปัญหาทางกฎหมายกรณีการถูกลอยแพของแฟรนไชส์ซีรายย่อย

Abstract

การศึกษาค้นคว้าอิสระนี้มีวัตถุประสงค์เพื่อ (1) ศึกษาแนวคิด ประวัติความเป็นมา และหลักการพื้นฐานของปัญหาทางกฎหมายกรณีการถูกลอยแพของแฟรนไชส์ซีรายย่อย (2) ศึกษากฎหมายที่เกี่ยวข้องกับปัญหาทางกฎหมายกรณีการถูกลอยแพของแฟรนไชส์ซีรายย่อยของประเทศไทยและสหรัฐอเมริกาในมลรัฐแคลิฟอร์เนียและมลรัฐอิลลินอยส์ (3) ศึกษาเปรียบเทียบกฎหมายและวิเคราะห์ปัญหาทางกฎหมายกรณีการถูกลอยแพของแฟรนไชส์ซีรายย่อย (4) ศึกษาถึงแนวทางในการปรับปรุงแก้ไขกฎหมายเพื่อแก้ปัญหาทางกฎหมายกรณีการถูกลอยแพของแฟรนไชส์ซีรายย่อยของประเทศไทย การศึกษาค้นคว้านี้เป็นการวิจัยเชิงคุณภาพด้วยวิธีวิจัยเอกสารจากการค้นคว้าจากเอกสาร หนังสือ บทความทางวิชาการ วิทยานิพนธ์ ข้อมูลจากอินเตอร์เน็ตตลอดจนกฎหมายที่เกี่ยวข้อง โดยศึกษากฎหมายที่เกี่ยวข้องกับธุรกิจแฟรนไชส์ในประเทศไทย และวิเคราะห์เปรียบเทียบกับกฎหมายเกี่ยวกับธุรกิจแฟรนไชส์ของสหรัฐอเมริกาในมลรัฐแคลิฟอร์เนีย และมลรัฐอิลลินอยส์ ผลจากการศึกษาพบว่า (1) แนวคิด ประวัติความเป็นมา และหลักการพื้นฐานของปัญหาทางกฎหมายกรณีการถูกลอยแพของแฟรนไชส์ซีรายย่อย ปรากฏทฤษฎีที่รัฐนำมาใช้ควบคุมการลอยแพแฟรนไชส์ซีรายย่อย คือ ความไม่เท่าเทียมกันของอำนาจการต่อรอง ความไม่สมมาตรของข้อมูลข่าวสาร หลักความได้สัดส่วน (2) กฎหมายที่เกี่ยวข้องกับปัญหาทางกฎหมายกรณีการถูกลอยแพของแฟรนไชส์ซีรายย่อยของประเทศไทย ปรากฏในประกาศคณะกรรมการแข่งขันทางการค้า ส่วนของสหรัฐอเมริกาปรากฎในประกาศคณะกรรมาธิการการค้าแห่งสหพันธรัฐ ส่วนมลรัฐแคลิฟอร์เนียและมลรัฐอิลลินอยส์มีกฎหมายเฉพาะ (3) กฎหมายกลางของสหรัฐอเมริกา มลรัฐแคลิฟอร์เนียและมลรัฐอิลลินอยส์บัญญัติให้มีกฎหมายสำหรับธุรกิจแฟรนไชส์เป็นการเฉพาะ มีหน่วยงานกำกับมาตรฐานของแฟรนไชส์ซอร์ และกำหนดเอกสารการเปิดเผยข้อมูลอย่างละเอียดและชัดเจน (4) ควรมีการบัญญัติให้มีกฎหมายสำหรับธุรกิจแฟรนไชส์เป็นการเฉพาะ มีหน่วยงานกำกับควบคุมมาตรฐานของแฟรนไชส์ซอร์ และกำหนดเอกสารการเปิดเผยข้อมูลอย่างละเอียดและชัดเจน เพื่อเพิ่มประสิทธิภาพของกฎหมายต่อไป

The purpose of this independent study includes (1) concept, history and basic principles of Legal Issue in Abandonment of Franchisees (2) laws relating to Legal Issue in Abandonment of Franchisees in Thailand and the United States in state of California and the state of Illinois. (3) comparison laws and analyzing issue of Abandonment of Franchisees and improving the law to solve the issue in Abandonment of Franchisees in Thailand (4) research to find a solution for Legal Issue in Abandonment of Franchisees. This Independent study was based on researching from documents, books, academic articles, researches, information from the internet and related laws. Furthermore, the studying would compare and analyze the laws relating to franchise businesses in Thailand with the US franchise businesses laws in the state of California and the state of Illinois.The result indicated that to effectively solving the problem of Abandonment of franchisees are includes (1) concept, history and basic principles of Legal Issue in Abandonment of Franchisees. The theories that the government has applied the Issue are bona fides, inequality of bargaining power, asymmetric information, consumer protection and the principle of proportionality. (2) laws related to of Legal Issue in Abandonment of Franchisees in Thailand are The Trade Competition Commission Notice on Guidelines for the Assessment. United States are Uniform Franchise Disclosure Document. State of California and State of Illinois are specific laws for the franchise business. (3) The United States law provides for specific laws for the franchise business, has a regulatory agency to control franchisor standards and specifies detailed and clear franchise information disclosure documents. (4) There should be specific laws for the franchise business, has a regulatory agency to control franchisor standards and specifies detailed and clear franchise information disclosure documents to increase the efficiency in Thailand.
